Outlot Beta Terms of Service
Version: 1.0
Effective date: 2026-10-30
Web address: outlot.co/terms
Please read these terms. Sections 6, 12, and 13 matter most: they explain that Outlot's suggested prices are estimates, and they limit our responsibility.
1. The agreement
These Terms of Service are an agreement between you and Platte LLC, a California limited liability company that makes Outlot ("Platte LLC," "we," or "us"). They cover the Outlot iPhone app and the Outlot web app and website at outlot.co (the "Service").
If you use Outlot for a business, "you" means both you and that business, and you confirm that you can accept these terms for it. By creating an account or using Outlot, you agree to these terms. Our Privacy Policy at outlot.co/privacy explains how we handle information.
2. Who can use Outlot
Outlot is a tool for estate sale businesses and the people who work for them. It is not for personal or household use. You must be 18 or older. During the beta, access is by invitation only.
3. Accounts and crew access
- Give us accurate account information and keep your password private. You are responsible for activity under your account.
- Each sale has an invite code. Anyone who enters it joins the sale and can see and change its items, photos, voice notes, and listings. Share a code only with people you want working on that sale. You are responsible for the people you invite and what they do in the sale.
- Everyone who joins a sale needs their own account and must accept these terms.
- Tell us right away at [email protected] if you think someone has used your account or joined a sale without permission.
4. The free beta
- It is a beta. Outlot is still being built. Features may change, stop working, or be removed. Expect bugs.
- Usage limits. We may set reasonable limits, such as how many photos or items you can process, to keep the beta running for everyone.
- TestFlight builds expire. Install updates through TestFlight to keep using the app.
- No fees. The beta is free. If we introduce paid plans, we will tell you at least 30 days before any charge, and we will not charge you unless you choose a paid plan.
- The beta can end. We may end the beta or stop offering Outlot. We will try to give you at least 30 days' notice so you can export your sales, unless we must act sooner for legal or security reasons.
- Keep your own copies. Beta software can lose data. Export any sale you need to keep as a CSV spreadsheet with its photos.
5. Your content
"Your content" means the photos, voice notes, and sale details you add to Outlot, and the listings Outlot drafts for you, including your edits.
- You own your content. Listings Outlot drafts for you are yours to use as you like, and we assign to you any rights we have in them. Outlot may give other users similar results. This does not cover third-party material, such as comparable listings from other websites.
- Permission you give us. You give Platte LLC a non-exclusive, royalty-free permission to host, store, copy, process, transmit, and display your content only as needed to run Outlot for you. That includes drafting and updating listings, sending content to the service providers named in our Privacy Policy, showing it to the people you share a sale with, publishing it if you publish a sale page, and looking at it when needed to fix a problem or check the quality of Outlot's results. We do not use your content to train our own AI models.
- When that permission ends. It ends when you delete the content or your account, except for content in a sale shared with others, copies in backups until they are replaced, and copies the law requires us to keep.
- Your responsibility. You confirm you have the rights and permissions needed to photograph, record, and upload your content, including from your clients. Keep people and personal documents out of your photos, and record only your own voice unless everyone recorded agrees.
6. Suggested prices and listings are estimates
Outlot uses AI, along with comparable sales and listings from other websites, to draft titles, descriptions, makers, conditions, and suggested prices. These are starting points for your review, not facts.
- They can be wrong. Outlot can misidentify an item, misread a mark, name the wrong maker, miss damage, or suggest a price that is too high or too low. Comparable sales and listings come from other websites. We label them Sold, Asking, or Retail based on what the source shows, and the source may be wrong, out of date, or gone.
- Not an appraisal. Outlot does not provide appraisals, authentication, or professional valuations. Do not rely on its prices for insurance, tax, estate, probate, or charitable donation purposes.
- You decide. You are responsible for reviewing and editing everything before you use it, and for the prices you set, what you publish, what you sell, what you tell buyers, and what you owe your clients.
- Restricted items. Some items are regulated or banned from sale, such as certain firearms, ivory and other wildlife products, and recalled products. Outlot does not check whether an item can legally be sold.
- No payments. Outlot does not handle payments or sale proceeds, and it is not a party to your agreements with your clients or buyers.
- Sale pages. If you publish a sale page, you are responsible for what it shows. Visitors can ask questions of an AI assistant that answers from your sale's information, and its answers can be wrong.
7. Acceptable use
Do not use Outlot to:
- Break the law, including consumer protection, privacy, recording, and sales laws.
- Upload content you do not have the right to share, or content that is unlawful or infringes someone else's rights.
- Photograph or record people without their permission, or collect personal information about people beyond what is incidental to cataloging a sale.
- Mislead buyers, for example by presenting a reproduction as authentic or a suggested price as an appraisal.
- Access other people's accounts or sales without permission, or get around our security or usage limits.
- Copy, scrape, resell, or reverse engineer Outlot, except where the law allows it, or use it to build a competing product.
- Overload or disrupt the Service, including through automated access we have not approved.
8. Third-party services
- Apple. The beta is distributed through Apple's TestFlight, and you can sign in with Apple. Apple's terms apply to those services, and Apple is not responsible for Outlot.
- Our service providers. Outlot relies on other companies, including OpenAI, SerpApi, and Supabase. Problems on their side can affect Outlot.
- Comparable sources. Outlot links to listings on other websites. We do not control those sites, and their own terms apply when you use them.
9. Feedback
Feedback is always optional. If you send us ideas, suggestions, or bug reports, we may use them for any purpose without paying you or owing you anything.
10. Our property
Platte LLC owns Outlot, including its software, design, and the Outlot name and logo. These terms give you no rights in them except to use the Service as these terms allow.
11. Suspension and termination
- You can leave at any time. Stop using Outlot and delete your account in the app or the web app.
- We can suspend or end your access if you break these terms, if your use creates risk or legal exposure for us or others, or if we end the beta. When it is reasonable, we will tell you first and give you time to export your sales.
- What continues. Sections 6, 9, 10, 12 through 15, and 17 continue after your access ends, and section 5 continues for content that stays in shared sales.
12. Disclaimers
Outlot is a beta, provided "as is" and "as available." To the fullest extent the law allows, Platte LLC disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not promise that Outlot will be uninterrupted, error-free, or secure, that its identifications, descriptions, or suggested prices will be accurate, or that your data will not be lost.
13. Limitation of liability
To the fullest extent the law allows:
- Platte LLC is not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost sales, items priced too high or too low, lost data, or business interruption, even if we were told they were possible.
- Our total liability for all claims relating to Outlot or these terms is limited to the greater of $100 or the amount you paid us for Outlot in the 12 months before the claim. During the free beta, that amount is $100.
- These limits do not apply to liability that the law does not allow us to limit, such as liability for fraud or willful misconduct.
14. Claims caused by your use
If someone brings a claim against Platte LLC because of your sales, your content, or your breach of these terms, you agree to cover the resulting losses, damages, and reasonable legal fees. We will tell you about the claim promptly and let you take part in the defense.
15. Governing law and disputes
California law governs these terms, without regard to its conflict-of-law rules. Before filing a claim, please email [email protected] and give us 30 days to try to resolve it informally. If we cannot, the claim must be brought in the state or federal courts located in Santa Clara County, California, and both sides consent to those courts' jurisdiction. Either side may bring a qualifying claim in small claims court.
16. Changes to these terms
We may update these terms. For material changes, we will notify you in the app or by email at least 14 days before they take effect, unless a change is needed sooner for legal or security reasons. Changes do not apply to disputes that arose before they took effect. If you keep using Outlot after a change takes effect, the updated terms apply. If you do not agree, stop using Outlot and delete your account.
17. General
- These terms and our Privacy Policy are the entire agreement between you and Platte LLC about Outlot.
- If any part of these terms cannot be enforced, the rest stays in effect.
- If we do not enforce a term right away, we have not waived it.
- You may not transfer these terms without our written consent. We may transfer them as part of a merger, acquisition, or sale of assets.
- We may send you notices by email to the address on your account, or in the app.
- Neither of us is responsible for delays caused by events beyond reasonable control.
